Last updated: September 2026 FLIP DIRECT CONFIDENTIALITY AGREEMENT This Confidentiality Agreement sets out how Hospitality Analysts Pty Ltd (operating as Flip Direct) treats the commercial and operational information of the properties that use Flip Direct. It applies to every property from the first conversation through the life of the engagement. 1. Why confidentiality is central to what we do We treat the fact that a property uses Flip Direct, and everything we learn about that property, as confidential. A property gains no competitive edge from us if its competitors can see that edge. This is not a footnote — it is a core feature of the product. 2. What we treat as confidential We treat the following as confidential information belonging to the property ("Confidential Information"): - The identity of the property and the fact that it uses Flip Direct. - Guest contact details (real email, phone) captured at check-in. - Booking data, rate plans, room inventory, and OTA channel information. - The Flip Attribution Ledger records for the property. - Competitor rate data, review intelligence, and demand analysis. - Property settings, loyalty program configuration, and QR card artwork. - Revenue, occupancy, and commission recovery figures. - Any information marked confidential or reasonably understood to be confidential. 3. What we will not do We will not, without the property's express written consent: - Name the property as a client in any public material. - Publish, present, or share the property's results, benchmarks, or case studies. - Use the property's guest data to train shared models that benefit other properties. - Cross-reference or pool the property's data with other properties' data. - Sell or licence the property's data to third parties. - Disclose the property's identity to other properties, including those in the same market. - Use the property's Flip Attribution Ledger data for any purpose other than the property's own commission recovery reporting and the platform's aggregated (anonymised) reporting. 4. How we hold the information - Each property's data is stored against that property and access-controlled so that only the property's own users and authorised platform administrators can see it. - Staff and platform administrators are bound by internal confidentiality obligations and access is granted on a least-privilege basis. - Data is encrypted in transit and at rest, and access is logged. - Competitive data gathered on behalf of a property is gathered for that property's use and is not shared with the competitors concerned. 5. The Flip Attribution Ledger The Flip Attribution Ledger is a tamper-evident record of every OTA-to-direct booking flip. While the individual flip records for a property are confidential to that property, the aggregated, anonymised ledger data (e.g. total commission recovered across all properties) may be used by the platform for its own reporting and marketing, provided no individual property or its figures can be identified. 6. Aggregated and anonymised insights We may publish general industry observations that do not identify any property or reveal its figures — for example, "properties using Flip Direct recover an average of $X in OTA commission per month". We will not publish any insight that could reasonably allow a specific property or its results to be identified. 7. Permitted disclosure We may disclose Confidential Information only: - To the property's own authorised users and staff. - To our service providers (hosting, payment processing, rate-shopping) strictly to operate the platform, under obligations of confidentiality. - Where required by law, and then only to the extent necessary. 8. Non-solicitation of guests We will not solicit, market to, or attempt to redirect any guest captured through a property's Flip Direct program to a competing property. Guest contact details captured at check-in are used solely to deliver the flip sequence and loyalty program for the property that captured them. 9. Data retention after the engagement ends When a property stops using Flip Direct, we will, at the property's request, export its guest data and delete it from our active systems, subject to legal retention obligations. The Flip Attribution Ledger (aggregated flip records) remains with the platform as described in Section 5. We will not continue to use the property's guest data after the engagement ends. 10. The property's responsibilities The property agrees to: - Keep its own login credentials secure. - Ensure its staff only access data they are authorised to access. - Not reverse-engineer, scrape, or attempt to extract the platform's underlying models or the competitive data of other properties. - Capture real guest contact details at check-in (not fake or placeholder data). 11. No warranty of specific results We provide tools to help properties convert OTA guests to direct guests. The property remains responsible for accepting, rejecting, or editing every recommendation. We do not warrant any specific number of flips, commission recovered, or revenue outcome. 12. Changes to this agreement We may update this agreement from time to time. We will post the revised version on this page and update the "Last updated" date. A property's continued use of Flip Direct after a change constitutes acceptance of the revised agreement. 13.
